Welcome to Vidilec. Please read this document carefully before using any of our applications. It is written in plain language because you deserve to understand exactly what you are agreeing to.
By creating a Vidilec Account or using any of our applications (such as Gyth and other current or future applications), you confirm that you have read and accept these Terms of Service (the “Terms”). If you do not agree, you must not use our services.

Vidilec is a brand and an ecosystem of software applications whose main website is vidilec.com. The service is commercially operated by Kevin Steven Morales Castro, acting as a legally constituted sole proprietor (persona natural) under the laws of the Republic of Ecuador.
When we say “Vidilec,” “we,” “us,” or “our,” we mean Kevin Steven Morales Castro in his capacity as operator of the Vidilec ecosystem. When we say “you” or “user,” we mean the person who creates an account and uses the ecosystem’s services.

Vidilec is an ecosystem: a family of distinct applications operating under a common platform and brand identity. When you register, you create a “Vidilec Account” that gives you access to all current applications and to those added in the future, without needing to create separate accounts.
Identity management and authentication for your Vidilec Account are operated by Auth0 (a company of Okta), a third party specialized in identity security. Auth0 processes your authentication data on our behalf, as a service provider, subject to contractual safeguards and its own security commitments. For more information about how your data is handled, see our Privacy Policy (Section 8).
2.2 Services in Beta

Some applications in the ecosystem may be made available in “Beta” (for example, Gyth at present). When a service is in Beta, the following applies:
- It is under active development: it may contain bugs, unexpected behavior, or interruptions.
- It is provided “as is”: we do not guarantee continuous availability (uptime) or error-free operation.
- It may change or be discontinued: features may change significantly or be withdrawn with reasonable notice.
- It is not suitable for critical uses: it should not be used where an interruption could cause critical losses.
We will clearly indicate within each application, or on its product page, whether it is in Beta.
3. Your Vidilec Account

To use Vidilec’s services, you must create an account by providing truthful, complete, and up-to-date information. You are responsible for keeping your login credentials confidential and for the activity that occurs under your account, except to the extent that such activity results from our failure to maintain adequate security. You must notify us immediately through the contact channels available at vidilec.com if you suspect your account has been compromised.

By accepting these Terms, you represent and warrant that:
- You are at least 18 years old, or the legal age of majority applicable in your country of residence, whichever is higher.
- You have full legal capacity to enter into this agreement on your own behalf or, if you act on behalf of a company or organization, you have the authority to bind it to these Terms.
4. Payments, Subscriptions, and Billing

Vidilec does not process your payments directly. All financial management—including subscription billing, credit/debit card processing, calculation and remittance of international taxes (such as VAT or GST), and the issuance of receipts—is handled exclusively by Lemon Squeezy, acting as our Merchant of Record (MoR).
This means that, for legal and tax purposes, your purchase contract is with Lemon Squeezy, not directly with Vidilec. Vidilec does not store or have access to your credit or debit card data at any time.

Any dispute related to incorrect or unrecognized charges, taxes applied to your invoice, or refunds and chargebacks is subject to Lemon Squeezy’s then-current terms and policies, which you can consult on its official website. We will do everything within our reach to assist you, but Lemon Squeezy is the final authority on these financial matters.

You may cancel your subscription at any time from your account dashboard or through Lemon Squeezy. Cancellation will take effect at the end of the current billing cycle. We do not issue prorated refunds for unused time, except where required by applicable law or permitted by Lemon Squeezy’s policies.

If you are a consumer residing in the European Union, the EEA, or the United Kingdom, you generally have 14 days to withdraw from a distance contract. Because our services are digital and begin immediately upon purchase, by subscribing you expressly request that we begin providing the service immediately and acknowledge that you will lose your right of withdrawal once the service has been fully performed. Where the service has been performed only in part, any statutory refund will be calculated proportionally, in accordance with applicable law.

You retain 100% ownership of, and all rights to, the content, data, diagrams, texts, images, and any other material you create, upload, or generate within Vidilec’s applications (“Your Content”). Vidilec claims no ownership rights over Your Content.
By using our services, you grant us only a limited, non-exclusive, royalty-free license to store, process, and display Your Content for the sole purpose of providing the service to you. This license terminates automatically when you delete Your Content or close your account, except where a technical or legal reason requires retaining it longer (for example, automated backups).

Vidilec and its owner retain all rights, title, and ownership in and to:
- The source code of the platform and all of its applications.
- The visual design, interfaces, and user experience.
- The “Vidilec” brand, its logos, product names (such as “Gyth”), and all associated brand identity.
- Patents, trade secrets, and any other industrial or intellectual property related to the ecosystem.
We grant you no rights in any of the above beyond the access necessary to use the service in accordance with these Terms.
5.3 Feedback and Suggestions

We greatly value your ideas. If you send us feedback, suggestions, bug reports, or feature requests about any Vidilec application through any channel, you understand and agree that such feedback may be used freely by Vidilec to improve its products and services; that Vidilec has no obligation to compensate you for it; and that no confidential relationship is created with respect to feedback you provide voluntarily.

When using Vidilec’s services, you agree NOT to:
- Use the services for unlawful or fraudulent purposes under applicable law.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any component of the platform, except to the extent that this restriction is prohibited by applicable law.
- Access or attempt to access other users’ accounts, systems, or data without authorization.
- Use the services to harass, threaten, or harm third parties.
- Transmit viruses, malware, or any code designed to damage computer systems.
- Violate applicable export-control laws or international sanctions, including U.S. OFAC regulations or those of equivalent bodies.
- Intentionally overload the service’s infrastructure (denial-of-service attacks or similar).
- Resell or sublicense access to the services without Vidilec’s written authorization.
- Use bots, crawlers, or scrapers to extract data from the platform, or use the services or their data to train artificial intelligence or machine learning models without our express consent.

If Vidilec determines, in its reasonable discretion, that you have violated these acceptable-use rules, we may suspend or terminate your account, remove the infringing content, or take any legal action that may be appropriate. In serious cases (such as illegal activity, fraud, or intrusion attempts) we may act immediately and without prior notice. In less serious cases, we will notify you and give you an opportunity to remedy the situation before taking definitive measures.

To the maximum extent permitted by applicable law, Vidilec’s services are provided “as is” and “as available,” without warranties of any kind, express or implied, including (without limitation) the warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, secure, or error-free.

To the maximum extent permitted by applicable law, the total, aggregate liability of Vidilec (including its operator, Kevin Steven Morales Castro) to you for any claim arising out of the use of, or inability to use, the services will not exceed the total amount you paid to Vidilec during the 12 months immediately preceding the event giving rise to the claim. If you made no payment during that period, the maximum liability will be USD $10.00 (ten U.S. dollars).

To the maximum extent permitted by applicable law, in no event will Vidilec be liable for loss of data occurring accidentally or due to force majeure, loss of profits or revenue, or any indirect, incidental, special, punitive, or consequential damages, even if Vidilec was advised of the possibility of such damages.

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so. In particular, the limitations and exclusions in this Section 7 do not apply to liability for fraud or fraudulent misrepresentation, gross negligence or willful misconduct, death or personal injury caused by our negligence, or any other liability that cannot be limited or excluded under applicable law.

You agree to defend, indemnify, and hold harmless Vidilec (and its operator) from and against any claim, liability, damage, loss, and expense (including reasonable attorneys’ fees) arising out of or related to your misuse of the services, your breach of these Terms, or the infringement of third-party rights committed through Your Content. If you use the services as a consumer, this obligation applies only to the extent permitted by the mandatory consumer-protection rules of your country of residence.
Note: Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. To the extent such laws apply to you, the above limitations may not apply in full, and liability will be limited to the minimum extent permitted by law.

Your privacy matters to us. The processing of your personal data—what we collect, how we use it, who we share it with, and your rights—is detailed in the Vidilec Privacy Policy, available at vidilec.com/legal/privacy_policy. The Privacy Policy is an integral part of these Terms and should be read together with this document.
Business customers (data processing): If you use the services on behalf of an organization and, in doing so, upload personal data of third parties (such as your own customers or staff), you act as the data controller and Vidilec acts as a processor on your behalf. In that case, a Data Processing Agreement (DPA) applies, available upon request at [email protected].

Vidilec may update these Terms from time to time to reflect changes in the service, the addition of new applications, legal changes, or other operational reasons. When we make material changes (those that significantly affect your rights or obligations), we will notify you at least 15 days in advance by email to the address associated with your account, or through a prominent notice within the service.
Your continued use of the service after the changes take effect constitutes your acceptance of the new Terms. If you do not agree with the changes, you must stop using the services and may request the deletion of your account.

We reserve the right to modify, add, or remove features of any application, and to discontinue services (including Beta services), with reasonable notice. If we discontinue an active paid service, we will process the corresponding prorated refund in accordance with Lemon Squeezy’s terms.

These Terms take effect when you create your Vidilec Account and remain in force for as long as you use any of the ecosystem’s services.

You may end your relationship with Vidilec at any time by deleting your account from your profile settings or by contacting us directly. Termination ends your access to the services but does not void obligations already incurred (for example, a billing cycle in progress).

Vidilec may suspend or terminate your account with prior notice in the event of a curable breach of these Terms, or immediately and without notice in the event of serious violations (illegal activity, fraud, intrusion attempts, etc.).

Upon termination, your access to the services will cease. The provisions of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will remain in effect.

These Terms, their interpretation, and any dispute arising from them or related to the use of Vidilec’s services will be governed by the laws of the Republic of Ecuador, without giving effect to its conflict-of-laws rules. However, if you use the services as a consumer, this choice of law does not deprive you of the protection afforded to you by the mandatory provisions of the law of your country of residence.

For the resolution of any dispute, the parties submit to the jurisdiction of the courts of the city of Cotacachi, Imbabura, Ecuador. This exclusive forum applies to users acting in a professional or business capacity. If you are a consumer, nothing in these Terms limits your right to bring proceedings in, or your protection under the mandatory law of, your country of residence where applicable law so provides.

Before initiating any legal action, the parties agree to attempt to resolve the dispute amicably through direct communication for a period of 30 days from the date one party notifies the other of the existence of the dispute. This does not prevent either party from seeking urgent interim relief, nor does it prevent a consumer from contacting a competent consumer-protection or data-protection authority.

To the maximum extent permitted by applicable law, you and Vidilec agree that dispute-resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. This waiver does not apply where it is prohibited by the mandatory law of your country of residence (for example, it is generally unenforceable against consumers in the EU/EEA).

These Terms, together with the Vidilec Privacy Policy and any supplementary agreement specific to an application, constitute the entire agreement between you and Vidilec regarding the use of the services.

If a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of that right or provision in the future.

You may not assign your rights or obligations under these Terms without our prior written consent. Vidilec may assign its rights to a successor that assumes its obligations under these Terms, with prior notice to users.

The official version of these Terms is the English version and, in the event of any discrepancy with a translation, the English version will prevail. However, where you contract with us as a consumer in a language other than English, the version provided to you in that language will govern your relationship with us to the extent required by the mandatory law of your country of residence.

Vidilec will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including, without limitation, natural disasters, acts of government, strikes, internet service provider failures, DDoS attacks, or outages of third-party infrastructure (such as Auth0 or cloud platforms).
